Corporate Attorney

Bishop, Dulaney, Joyner & Abner is currently seeking a full-time Associate Attorney to join our Corporate Team.  The ideal candidate will have 2-4 years’ experience as a corporate transactional attorney.

Job Description

  • Represent companies in corporate transactional matters, including the purchase and sale of businesses through stock and asset acquisitions and dispositions, mergers, stock and membership interest redemptions, sales and purchases, shareholder and LLC member buy-ins/buy-outs and business exit plans.
  • Represent companies and investors through angel, venture capital and private equity fundraising transactions.
  • Draft, review and negotiate stock and asset purchase agreements, stock and membership interest redemption, sale and purchase agreements, merger agreements, articles and plans of merger, noncompetition agreements, employment agreements, consulting agreements, shareholder agreements, operating agreements, promissory notes, security agreements, stock pledge agreements, real property lease and franchise agreement assignments, confidentiality agreements, NDAs, supply agreements, license agreements, release agreements, escrow agreements and an array of other corporate clients.
  • Represent companies in negotiation and drafting of all manner of technology contracts, including licensing and reseller agreements, privacy policies, terms of use.
  • Represent and advise companies in corporate related matters, including legal entity formation and dissolution, related tax implications, corporate governance, preparation of shareholder and operating agreements and corporate resolutions.
  • Represent companies on a broad range of corporate matters covering the full life-cycle of such companies’ business.
  • Counsel clients in a variety of business matters including decisions on strategic growth, customer relations, and employment matters


  • J.D. from an ABA accredited law school
  • Excellent academic credentials
  • Experience in a corporate law practice or equivalent business/finance experience
  • Detail oriented with experience drafting and reviewing complex documents
  • Skilled in Microsoft Office including the use of Excel
  • Excellent oral and written communication skills
  • Ability to work well under pressure and think strategically
  • Ability to develop and foster relationships with clients
